A holding company is defined in UAE federal company law as a joint stock company or a limited liability company that establishes subsidiaries inside the State or abroad, or controls existing companies, by holding shares or membership interests that enable it to control the management of the subsidiary and influence its decisions. The name of the company, followed by the expression "Holding Company", must appear on all papers, advertisements and other documents it issues. Both points sit in Article 268 of Federal Decree-Law No. 32 of 2021 on Commercial Companies.
The law then narrows what the vehicle may do. Article 269 limits the objects of a holding company to five things:
- holding shares or membership interests in joint stock companies and limited liability companies;
- providing loans, guarantees and finance to its subsidiaries;
- owning movables and real estate required to commence its activity;
- managing its subsidiaries;
- owning industrial property rights from patents, trademarks, industrial drawings and models and royalties, and leasing them to its subsidiaries or to other companies.
The same article adds that holding companies may not conduct their activities except through their subsidiaries. A vehicle of this kind is therefore not a trading company that also owns others. Its permitted work is ownership, funding, the management of subsidiaries and the holding of rights.
The companies underneath keep their own standing. Article 21 records that subsidiaries of holding companies enjoy a legal personality and have their own independent financial liability, so common ownership alone does not merge their liabilities.
Three reporting consequences follow from the form itself. At the end of every fiscal year, a holding company prepares a consolidated balance sheet, profit and loss account and cash flow for itself and all its subsidiaries and presents them to the general assembly, with the relevant notes and statements, in accordance with internationally accepted accounting and audit practices and standards (Article 272). Any partner or shareholder may, on written request, obtain a free copy of the last audited accounts, the last auditor's report and, where the company is a holding company, a copy of the group accounts, and the company answers within ten days (Article 27). A subsidiary and its auditor must provide any information and explanations requested by the auditor of the holding company for the purposes of audit (Article 248). That duty sits in the chapter on auditors of public joint stock companies, and Article 102 provides that those provisions apply to the auditor of a limited liability company, Article 246 excepted.
What the form does not do can be stated as plainly. Incorporating a holding company does not record which family member holds what, beyond the entries on its own share register. It does not create a price or a process by which a shareholder who wishes to leave is paid. It does not create a place where a difficult subject can be raised, and it does not decide the direction of the group. Those questions are answered in the constitutional documents. For a company registered in the family companies register under Federal Decree-Law No. 37 of 2022 on Family Companies, the memorandum of association must comply with that decree-law and with the applicable provisions of the companies law or free zone legislation (Articles 3 and 5), and a family may have a charter containing rules for ownership, the objectives and values of the family, mechanisms for evaluating shares and methods of profit distribution, the education and qualification of family members to work in the company and its subsidiaries, and the consideration of family disputes related to the company (Article 6).
The administrative load is set by the form rather than by opinion. A further company means a further set of accounts, an audit relationship reaching into each subsidiary, consolidated statements each year and a further registration to maintain. What that load is set against is what the separate ownership layer is intended to carry, which is a question about a family's own circumstances rather than about the form.
